<br />AGREEMENT BETWEEN <br />THE PLEASANTON DOWNTOWN ASSOCIATION <br />AND THE CITY OF PLEASANTON TO <br />ADMINISTER THE DOWNTOWN PLEASANTON BUSINESS <br />IMPROVEMENT DISTRICT <br /> <br />THIS AGREEMENT, made and entered into this 22nd day of January, 2025, between the <br />CITY OF PLEASANTON, a municipal corporation (“City”), and the PLEASANTON <br />DOWNTOWN ASSOCIATION, a non-profit corporation (“Association”). City and Association <br />may be collectively referred to herein as the “Parties”. <br /> <br /> <br />RECITALS <br />(a) WHEREAS, the Pleasanton City Council has established the Downtown <br />Pleasanton Business Improvement District (hereinafter “District”), pursuant to Section <br />36000 et seq. of the Streets and Highways Code of the State of California, by the adoption <br />of Ordinance No. 1110 on December 6, 1983, as amended from time to time, and codified <br />in Chapter 5.28 of the Pleasanton Municipal Code; and <br />(b) WHEREAS, the City and the Association wish to contract for the Association to <br />administer the Downtown Pleasanton Business Improvement District on behalf of the City; <br />and <br />(c) WHEREAS, all persons engaged in business within the District are members of <br />said Association; and <br />(d) WHEREAS, pursuant to said Ordinance a charge will be imposed on all businesses <br />located within the District; and <br />(e) WHEREAS, the charges as levied are to be utilized exclusively for the purposes as <br />set forth in said Ordinance; and <br />(f) WHEREAS, the Association has, as one of its primary purposes, the promotion of <br />the District and the businesses located within; and <br />(g) WHEREAS, the Association is a qualified organization to establish, promote and <br />conduct the programs of the District and has agreed to do so upon the terms and conditions <br />as hereinafter set forth; and <br />(h) WHEREAS, the Association previously adopted and implemented the National <br />Main Street Model as its governance and operational structure and was conferred as a <br />National Main Street Program; and <br />(i) WHEREAS, in 2015, the National Main Street Model was rebranded as Main Street <br />America.
