ATTACHMENT 1 <br />Womack Striping, Inc. First Amendment Page 1 <br />FIRST AMENDMENT TO AGREEMENT <br />This First Amendment to Agreement ("First Amendment") is entered into this 21st day of <br />January 2025 by the City of Pleasanton ("City") and Womack Striping, Inc ("Contractor”). <br />Whereas, on July 1, 2023 the City and Contractor entered into an As Needed <br />Maintenance and Trade Services Agreement for as needed pavement striping and signage <br />services (collectively the “Agreement”); and <br />Whereas, the parties desire to extend the term of the Agreement for one additional year; <br />and <br />Whereas, the parties desire to amend the contract maximum for the current two-year <br />term and subsequent terms. <br />Now, therefore, the parties agree as follows: <br />1. Section 1. Term is amended to read: The term of this Agreement is extended until <br />June 30, 2026. <br />2. Section 3. Compensation is amended to read as follows: <br /> Total compensation under this Agreement for all Work Authorizations issued <br />between July 1, 2023 and June 30, 2025 shall not exceed $275,000, and total <br />compensation under this Agreement for all Work Authorizations issued between July <br />1, 2025 and June 30, 2026 shall not exceed $150,000, and total compensation for <br />subsequent years shall not exceed $150,000. Payment shall be made within thirty (30) <br />days of receipt of Contractor’s invoice and approval by City. <br />4. This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may <br />be delivered via facsimile, electronic mail (including pdf or any electronic signature <br />complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), <br />California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or <br />other applicable law) or other transmission method, and any counterpart so delivered <br />shall be deemed to have been duly and validly delivered and be valid and effective for <br />all purposes. <br />5.
