FlashVote Services Order Form <br />Order Details <br />Customer: <br />City of Pleasanton - CA <br />123 Main Street <br />Pleasanton, CA 94566 USA <br />Contact: <br />Heather Tiernan <br />htiernan@cityofpleasantonca.gov <br />925-931-5044 <br />Services: Governance Sciences Group, Inc (“the Company”) will provide the Standard Tier of annual FlashVote services <br />(the “Service(s)”). This is a program of up to 6 Custom FlashVote Surveys per year. <br />Launch services, additional Custom FlashVote Surveys and other Premium features are available as options for additional <br />and separate fees. <br />Services Fees: First year total contract value of <br />$11,900.00 with an annual recurring subscription of <br /> $11,900.00 per year payable in advance annually, <br />subject to the terms of Section 4 herein. <br />Initial Service Term: 36 Months <br />(December 15, 2024 to June 30, 2028) <br />Implementation Services: Company will use commercially reasonable efforts to provide Customer the services <br />described in the Statement of Work (“SOW”), and Customer shall pay Company all fees included in the proposal scope of <br />work in accordance with the terms herein. <br />Order Terms <br />Currency: USD <br />Payment Terms: Net 30 (Payments for subscriptions are due at the beginning of the period of performance.) <br />Period of Performance: The term of the Agreement will commence with the initial term and continue through any <br />subsequent renewals. <br />Additional Terms (if any): <br />At customer's request, the contract will start on 12/15/2024 and FlashVote will pro-rate the first year annual <br />billing to align futer service terms with a July 1st to June 30th fiscal cycle. <br />The proposed term and billing summary is: <br />Year 1 (prorated): 12/15/2024 to 06/30/2025 - $6,445 <br />Year 2: 07/01/2025 to 06/30/2026 - $11,900 <br />Year 3: 07/01/2026 to 06/30/2027 - $11,900 <br />Year 4: 07/01/2027 to 06/30/2028 - $11,900 <br />Total contract value of $42,145 <br />Exhibit ADocusign Envelope ID: 07134E19-08E2-4CA6-A89E-944F35303E23
