5. Ownership of Art. LAVTA shall retain the copyright to the Art and may reproduce the Art for general business activities, such as including reproductions of the Art in catalogues, promotional materials and other similar publications. The Art may not be reproduce or copied for commercial purposes without the express written consent of LAVTA. Notwith- standing the foregoing, the City may use reproductions for the purpose of public relations, promotions, and education and PUSD students may use reproductions in their portfolios. 1 6. Term. This Agreement shall commence on 0 % - C 7, 2010 and shall terminate automatically upon the date the Art is removed from the Property and the Property is restored to the condition it was in prior to the installation of the Art. Either party may terminate this Agreement upon thirty (3 0) days written notice to the other party. 7. Legal Proceeding. If any legal proceeding should be instituted by either of the parties to enforce the terms of this Agreement or to determine the rights of the parties under this Agreement, the prevailing party in the proceeding shall receive, in addition to all court costs, reasonable attorneys' fees. 8. Notices. All notices required or permitted to be given under this Agreement shall be in writing and mailed postage prepaid by certified or registered mail, return receipt requested, or by personal delivery or by overnight courier, to the appropriate address indicated below or at such other place or places as either party may from time to time designate in a written notice given to the other. Notices shall be deemed sufficiently served four (4) days after the date of mailing by certified or registered mail, one (1) day after mailing by overnight courier or upon personal delivery. Entire Agreement.
