Contract #2021321 Third Amendment Page 1 THIRD AMENDMENT TO AGREEMENT This Third Amendment to Agreement ("Third Amendment") is entered into this ______ day of January 2024, by the City of Pleasanton ("City") and Tri-Signal Integration, Inc. ("Contractor”) Whereas, on January 21, 2021, the City and Tri-Signal Integration, Inc. entered into a Maintenance and Trade Services Agreement for Fire Alarm Maintenance and Repair Services for City buildings per R.F.B. OSD 2020-408, which was amended on November 18, 2021 by the First Amendment to increase the cumulative work authorization, and as amended by the Second Amendment dated March 25, 2022 to increase the compensation not to exceed $250,000 ("collectively the Agreement"); and Whereas, the parties desire to amend the Agreement by extending the term and increasing the cumulative not to exceed for the remainder of the Agreement. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 1 of the Agreement, “Term” is amended to read as follows: The Term of this Agreement will expire June 30, 2025. 2. Section 3 of the Agreement, "Compensation" is amended to read: Total Accumulated Compensation under this Agreement is $395,118 through June 30, 2025. For FY 2023/24 the annual not to exceed amount shall be $84,191, an increase of $48,340 and for FY 2024/25 the not to exceed amount will be $96,778. 3. Exhibit B of the Agreement will be updated as Exhibit B.1 as the new Rate Sheet that will incorporate all new facilities that have been added as well as an increase in rates based on the local Consumer Price Index. 4. This Third Amendment may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission method, and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes. 5. All other terms and conditions of the Agreement shall remain in full force and effect.
