Contract #2021321 <br />Third Amendment Page 1 <br />THIRD AMENDMENT TO AGREEMENT <br /> <br /> <br />This Third Amendment to Agreement ("Third Amendment") is entered into this ______ day of January <br />2024, by the City of Pleasanton ("City") and Tri-Signal Integration, Inc. ("Contractor”) <br /> <br />Whereas, on January 21, 2021, the City and Tri-Signal Integration, Inc. entered into a <br />Maintenance and Trade Services Agreement for Fire Alarm Maintenance and Repair Services for City <br />buildings per R.F.B. OSD 2020-408, which was amended on November 18, 2021 by the First <br />Amendment to increase the cumulative work authorization, and as amended by the Second Amendment <br />dated March 25, 2022 to increase the compensation not to exceed $250,000 ("collectively the <br />Agreement"); and <br /> <br />Whereas, the parties desire to amend the Agreement by extending the term and increasing the <br />cumulative not to exceed for the remainder of the Agreement. <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, <br />the parties agree as follows: <br /> <br />1. Section 1 of the Agreement, “Term” is amended to read as follows: The Term of this <br />Agreement will expire June 30, 2025. <br /> <br />2. Section 3 of the Agreement, "Compensation" is amended to read: Total Accumulated <br />Compensation under this Agreement is $395,118 through June 30, 2025. For FY 2023/24 <br />the annual not to exceed amount shall be $84,191, an increase of $48,340 and for FY <br />2024/25 the not to exceed amount will be $96,778. <br /> <br />3. Exhibit B of the Agreement will be updated as Exhibit B.1 as the new Rate Sheet that <br />will incorporate all new facilities that have been added as well as an increase in rates <br />based on the local Consumer Price Index. <br /> <br />4. This Third Amendment may be executed in multiple counterparts, each of which shall be <br />an original and all of which together shall constitute one agreement. Counterparts may <br />be delivered via facsimile, electronic mail (including pdf or any electronic signature <br />complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California <br />Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other <br />applicable law) or other transmission method, and any counterpart so delivered shall be <br />deemed to have been duly and validly delivered and be valid and effective for all <br />purposes. <br /> <br />5. All other terms and conditions of the Agreement shall remain in full force and effect. <br /> <br /> <br />In witness whereof, authorized representatives of the parties have executed this Third Amendment to the <br />Agreement as of the date and year first above written. <br /> <br /> <br /> <br />Page 172 of 201
