DocuSign Envelope ID: 80AD863D-11A5-4B60-BE8F-02FD677D8AEC SECOND AMENDMENT TO AGREEMENT This Second Amendment to Agreement ("Second Amendment") is entered into this sixteenth day of February 2024 by the City of Pleasanton ("City") and The Regents of the University of California ("University") on behalf of its University of California Agriculture and Natural Resources ("UC ANR") and its University of California Cooperative Extension ("UCCE") Master Gardener Program in Alameda County ("MGAC"). Whereas, on February 2, 2022, the City and University entered into Agreement for Use of Pleasanton Senior Center to propagate plants and offer Senior Center and Recreation for Adults with Developmental Disabilities ("RADO") participants free educational garden programs ("Activity") and conduct a two-day plant sale open to the public for browsing and pre-ordered plants; which was amended by the First Amendment to the Agreement on December 30, 2022 ( collectively the "Agreement"); and Whereas, the parties desire to extend the term and change MGAC activities. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1.Section II of the Agreement, "Term" is amended to read: This agreement shall expire on December 31, 2024. 2. Section III A. 1. of the Agreement, "Responsibilities" is amended to read: No payment of fees or money is associated with the use of the Site, however, MGAC will donate for no cost one hundred (100) vegetable plants for Pleasanton Senior Center patrons, which will be distributed by senior center staff. Such donations shall occur within five (5) days of the completion of the plant sale. 3.Section III B. 6 of the Agreement," Responsibilities" is amended to read: City shall coordinate with the MGAC for plant propagation to begin on February 19, 2024 at the Site, and for the browsing and drive-by pickup plant sale April 13-14, 2024. 4.This amendment may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission method, and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes. 5.All other terms and conditions of the Agreement shall remain in full force and effect.
