DocuSign Envelope ID: 80AD863D-11A5-4B60-BE8F-02FD677D8AEC <br />SECOND AMENDMENT TO AGREEMENT <br />This Second Amendment to Agreement ("Second Amendment") is entered into this <br />sixteenth day of February 2024 by the City of Pleasanton ("City") and The Regents of the <br />University of California ("University") on behalf of its University of California Agriculture and <br />Natural Resources ("UC ANR") and its University of California Cooperative Extension <br />("UCCE") Master Gardener Program in Alameda County ("MGAC"). <br />Whereas, on February 2, 2022, the City and University entered into Agreement for Use of <br />Pleasanton Senior Center to propagate plants and offer Senior Center and Recreation for Adults <br />with Developmental Disabilities ("RADO") participants free educational garden programs <br />("Activity") and conduct a two-day plant sale open to the public for browsing and pre-ordered <br />plants; which was amended by the First Amendment to the Agreement on December 30, 2022 <br />( collectively the "Agreement"); and <br />Whereas, the parties desire to extend the term and change MGAC activities. <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br />1.Section II of the Agreement, "Term" is amended to read: This agreement shall expire <br />on December 31, 2024. <br />2. Section III A. 1. of the Agreement, "Responsibilities" is amended to read: No payment <br />of fees or money is associated with the use of the Site, however, MGAC will donate <br />for no cost one hundred (100) vegetable plants for Pleasanton Senior Center patrons, <br />which will be distributed by senior center staff. Such donations shall occur within <br />five (5) days of the completion of the plant sale. <br />3.Section III B. 6 of the Agreement," Responsibilities" is amended to read: City shall <br />coordinate with the MGAC for plant propagation to begin on February 19, 2024 at the <br />Site, and for the browsing and drive-by pickup plant sale April 13-14, 2024. <br />4.This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may <br />be delivered via facsimile, electronic mail (including pdf or any electronic signature <br />complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), <br />California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or <br />other applicable law) or other transmission method, and any counterpart so delivered <br />shall be deemed to have been duly and validly delivered and be valid and effective for <br />all purposes. <br />5.All other terms and conditions of the Agreement shall remain in full force and effect. <br />Page 1 of2
