<br />REIMBURSEMENT AGREEMENT <br />FOR CONSULTANT SERVICES <br /> <br />This Reimbursement Agreement for legal services related to a Pole Licensing <br />Agreement (“Agreement”) is entered into on December 16, 2024, between the City of <br />Pleasanton, a general law city (“City”) and Ubicquia, Inc. (“Applicant”). <br /> <br />RECITALS <br /> <br />A. Applicant is interested in installing small cells in the City of Pleasanton and desires to <br />make minor modifications to the City’s existing template Pole Licensing Agreement to address <br />the issue that Applicant is not a telecommunication carrier. <br /> <br />B. The City will be engaging the services of Telecom Law Firm (“Consultant” or “TLF”) <br />to assist staff in its review and processing of Applicant’s proposed amendments to the City’s <br />Pole Licensing Agreement. <br /> <br />C. Applicant agrees to reimburse City for the cost of such Consultant services (“Consultant <br />Costs”). <br /> <br />NOW, THEREFORE, in exchange for valuable consideration, the parties agree as follows: <br /> <br />1. Reimbursement of Consulting Costs. Applicant shall reimburse the City for the <br />Consultant Costs pursuant to the following hourly billing rates of TLF: partner $367, associate <br />attorney $290, and paralegal $163. <br /> <br />2. Scope. The scope of the consulting services to be provided by TLF shall be restricted <br />to Applicant’s proposed changes to the following provisions of the template Pole Licensing <br />Agreement: <br />3. <br />a.
