5.2. <br /> <br />The parcels required herein to be <br />be conveyed free and clear of all <br /> <br />transferred shall <br />liens, except for <br /> <br /> existing easements and those required by subsection <br /> 5.3 below. The costs of the escrow and title <br /> insurance to each party shall be borne by each <br /> party in accordance with the customary practice <br /> of Alameda County.for private parties; 'such costs. <br /> shall be deemed expenses for improvements contemplated <br /> as part of the NPAD and, if such improvements are <br /> included in the NPAD, such costs shall be reimbursed <br /> by the NPAD. <br /> <br /> Certain easements, as indicated on the Realignment <br /> Plan, shall be created as part of the land transfers <br /> in order to provide the following: <br /> a. R & B and Denny's joint access to the westerly <br /> <br /> driveway serving the Denny's parcel; <br /> <br />b. Denny's and Harris Professional Center joint <br /> <br /> access to the easterly joint driveway; <br /> <br /> c. R & B access through the redesigned Harris <br /> Professional Center parking area located <br /> in the abandoned Johnson Drive; <br /> <br />d. Harris Professional Center access through <br /> <br /> the northerly and westerly parking lot driveway <br /> of the Denny's parcel; and <br /> <br />e.
