The Allocation Agreement and Amendment pro- <br />vide that Sente and Valley may assign certain of their <br />rights, obligations, and interest under the Allocation <br />Agreement to a third party upon the third party's taking <br /> <br />title to a lot within Valley Business Park and that said <br />third party shall execute a assignment, assumption, indem- <br />nity, and release agreement in favor of Sente and Valley; <br /> <br /> E. Sente has conveyed title to that certain real <br />property commonly known as Lot __ of Valley Business Park, <br />more particular described in Exhibit A (the "Lot"), to Buyer <br />and desires therefore to assign to Buyer a portion of the <br />Valley Business Park Sewer Allocation and also to assign to <br />Buyer the obligation to pay to the City the surcharge set <br />forth in the Allocation Agreement for the purchase and use <br />of the sewer capacity made available to the Lot by the <br />Allocation Agreement and Amendment and this agreement, and <br />Buyer desires to accept said assignments and to accept <br /> <br />certain limitations on Buyer's purchase and use of sewer <br />capacity beyond the sewer capacity assigned to the Lot by <br />this agreement. <br /> <br /> NOW, THEREFORE, the parties hereto agree as <br /> <br />follows: <br /> <br /> 1. <br /> <br />Assignment of Sewer Capacity.
