Said agreement sets forth <br /> the terms and conditions of City's obligations for said expansion; <br /> and <br /> <br /> E~ereas, City has entered into an agreement, dated <br /> <br />August 31, 1980, by and between City and CH2M Hill, engineers, <br />providing for the completion of such environmental analysis <br />and reports, engineering plans and specifications, and construction <br />management as may be required to complete expansion of the LAVWMA <br />facilities. Said Agreement provides for contracting for said <br />work by City under Task Orders; and <br /> <br /> Whereas, on August 15, 1978, the Board of Directors of the <br />Dublin San Ramon Services District (DSRSD) agreed to the <br />expansi6n of its treatment facilities to provide City an <br />additional 500,000 gallons per day of treatment capacity subject <br />to the completion of engineering feasibility studies and the <br />acceptance of same by DSRSD; and <br /> <br /> Whereas, on February 5, 1980, the Board of Directors of <br /> <br />the Dublin San Ramon Services District (DSRSD) entered into an <br />Agreement with Brown and Caldwell, Inc., for preliminary <br />engineering feasibility studies, cost estimates, etc. Said <br />resolution and associated contract is attached hereto as Exhibit <br />"c", and made a part hereof by re~erence; and <br /> <br /> Whereas, Owner has entered into an Agreement of Sale by <br /> <br />and between Owner and The Prudential Insurance Company of America <br />(hereinafter Proposed Assignee) for conveyance of title to the <br />property described in Exhibit "A", attached hereto, to Proposed <br />Assignee; and <br /> <br />-2- <br /> <br /> <br />
