NOW, THEREFORE, in consideration of the assistance given <br />to the City of Pleasanton in the construction of the public <br />facilities, the parties hereto agree as follows: <br /> <br /> 1. The City of Pleasanton shall defend, indemnify, save <br />and hold harmless the City of Pleasanton Public Facilities <br />Corporation, its officers and agents, from and against any <br />and all claims, suits, damages, costs, losses and liabilities, <br />including interest, in any manner resulting-from, arising <br />out of, or connected with the lease, financing, construction <br />and lease back of the public facilities to be constructed <br />on Bernal Avenue in the City of Pleasantono <br /> <br /> 2. This indemnity agreement shall specifically apply <br />to any and all directors, officers, or agents of the City <br />of Pleasanton Public Facilities Corporation, both as presently <br />constituted and as may be constituted in the future, and <br />shall also specifically apply to former officers, directors, <br />or agents should they be subject to any liability arising <br />out of their activities relating to the police facility <br />while a member of the City of Pleasanton Public Facilities <br /> <br />Corporation. <br /> <br /> THIS INDEMNITY AGREEMENT is entered <br />and year first above written. <br />CITY OF PLEASANTON <br /> <br />into as of the day <br /> <br />CITY OF PLEASANTON PUBLIC <br />FACILITIES CORPORATION <br /> <br />By By <br /> Robert E.
