4. With the exception that the following provisions of <br />this paragraph 4 shall in no event be construed to require <br />indemnification by City in excess of that permitted under the <br />public policy of the State of California, City shall indemnify and <br />save harmless Company and its agents and servants, and each of <br />them, of and from: <br /> <br /> (a) Any and all claims, demands, causes of action, <br />damages, costs, expenses, losses or liabilities, in law or equity, <br />of every kind and nature whatsoever (for, but not limited to, <br />injury to, or death of any contractor of City, or any employees of <br />Company, City or any such contractor, and damage to or destruction <br />of property of Company,) arising out of or in any manner directly <br />or indirectly connected with the work to be performed by City, <br />howsoever caused, regardless of any negligence of Company or its <br />agents or servants, be it active or passive, except for such <br />demages, costs, expenses, losses or liabilities which arise .from <br />the sole negligence or willful misconduct of Company or its agents <br />or servants; and <br /> <br /> (b) any and all penalties imposed on account of the <br />violation of any law or regulation, compliance with which is left <br />by this Agreement to the part of the City. City shall, at City's <br />own cost, expense and risk, defend any and all suits, actions or <br />other legal proceedings that may be brought or instituted by third <br />persons_against Company, its agents or servants, or any two or more <br />of them, on any such claim, demand or cause of action of such third <br />persons, or to enforce any such penalty; shall pay and satisfy any <br /> <br />Page 2 of 3 <br /> <br /> <br />
