B. OTHER ACTIVITIES. Nothing herein contained shall prevent Consultant from <br /> <br /> carrying on its usual business activities, including the performance of other <br /> <br />additional services for the City, should it so desire such additional services, nor from <br />performing similar services for other cities, districts, public entities or corporations. <br /> <br />9. CITY COOPERATION. City agrees that its officials and employees will be requested <br /> <br /> and directed to cooperate with and assist representatives of Consultant in every <br /> <br />reasonable way to the end that Consultant may secure all information and data required <br /> <br />to perform the services heroin provided for. <br /> <br />10. ASSIGNMENT. Consultant shall not assign this contract or any portion thereof <br /> <br /> without the express written approval of the City through its City Manager. This <br /> <br />clause shall not prohibit the assignment of any of the proceeds received by Consultant <br />pursuant to the terms of this contract. <br /> <br />11. TIME, Time is of the essence in the performance of the terms and conditions contained <br /> herein with the objective to consider instituting modifications by January 1, 1983. <br /> <br />12. TERMINATIO~',L Either party hereto shall have the right to terminate this agreement <br /> <br /> for good cause upon giving a ten (~0} day written no~.ice of such termination to the <br /> <br />other party. <br /> <br />13. INDEPENDENT CONTRACTOR. City retains consultant as an Independent contractor <br /> <br /> and not as an employee of City. As an independent contractor, Consultantes agents <br /> <br />and employees shall be the sole responsibility of Consultant and shall not be deemed to fall <br />within any of the personnel provisions governing City employees, In addition Consultant <br />shall be solely responsible for insuring compliance wi.th all laws governing its conduct and <br />obligations to its employees, including the payment of compensation under the terms of the <br />Fair Labor Standards Act. <br /> <br /> <br />
