B. OTHER ACTIVITIES. Nothing herein contained shall prevent Consultant from carrying on its usual business activities, including the performance of other additional services for the City, should it so desire such additional services, nor from performing similar services for other cities, districts, public entities or corporations. 9. CITY COOPERATION. City agrees that its officials and employees will be requested and directed to cooperate with and assist representatives of Consultant in every reasonable way to the end that Consultant may secure all information and data required to perform the services heroin provided for. 10. ASSIGNMENT. Consultant shall not assign this contract or any portion thereof without the express written approval of the City through its City Manager. This clause shall not prohibit the assignment of any of the proceeds received by Consultant pursuant to the terms of this contract. 11. TIME, Time is of the essence in the performance of the terms and conditions contained herein with the objective to consider instituting modifications by January 1, 1983. 12. TERMINATIO~',L Either party hereto shall have the right to terminate this agreement for good cause upon giving a ten (~0} day written no~.ice of such termination to the other party. 13. INDEPENDENT CONTRACTOR. City retains consultant as an Independent contractor and not as an employee of City. As an independent contractor, Consultantes agents and employees shall be the sole responsibility of Consultant and shall not be deemed to fall within any of the personnel provisions governing City employees, In addition Consultant shall be solely responsible for insuring compliance wi.th all laws governing its conduct and obligations to its employees, including the payment of compensation under the terms of the Fair Labor Standards Act.
