REIMBURSEMENT AGREEMENT <br /> <br /> THIS AGREEMENT is made and entered into this <br /> <br />day of , 1983, by and between VALLEY <br /> <br />BUSINESS ASSOCIATES, a California general partnership, and <br /> <br />SENTE ASSOCIATES SEVEN, a California general partnership <br />(hereinafter together referred to as "Valley"), and THE CITY <br />OF PLEASANTON, a municipal corporation (hereinafter referred <br />to as "City"). <br /> <br />will <br /> <br /> RECITALS <br /> <br /> Ao The parties contemplate that Valley Avenue <br />be extended to intersect with Stanley Boulevard and <br /> <br />that the proposed extension and related improvements will be <br />included in an assessment district ("Valley Avenue Extension <br />Improvement District") to be formed in 1984. <br /> <br /> B. In order to extend Valley Avenue, an at-grade <br />crossing of the Southern Pacific railroad tracks and the <br />Western Pacific railroad tracks as shown on Exhibit A <br />attached hereto and made a part hereof must be constructed. <br />In addition, a railroad crossing near the intersection of <br />Busch Road and Valley Avenue must be provided. <br /> <br /> C. Southern Pacific and Western Pacific have not <br /> <br />been responsive to attempted negotiations initiated by the <br />City regarding the relocation of the tail tracks, the <br />relocation of the Kaiser railroad crossing, or the <br /> <br /> <br />
