VII. CANCELLATION OF AGREEMENT This Agreement may be cancelled at an), tirne by CI'fY upon written noti[lcation to CONSULTANT. CONSULTANT shal~ be entitled to receive full compensation payrnent for al! services performed and all costs incurred to the date of receipt ol written notice to cease work on the PRO3ECT. CONSULTANT'S compensation ~or services performed shall be based upon time-and-materials rates listed in Exhibit At using actual man-hours of work periormed and expenses incurred to date of notice to cease work, as verified by CONSULTANT'S and sub-consultant~s employee time records up to but n~,: exceeding the total amount allowed herein for that item of work in progress. CONSULTANT shall be entitled to no further compensation for work performed after the date of receipt of written notice to cease work on the PRO:IECT. CITY shall receive a copy o~ all work completed to date o:[ receipt of written notice ~rom CONSULTANT. VIii. INDEMNIFY AND HOLD HARMLESS CONSULTANT shall defend, indemniiy, and hold harmless, the CITY and its officers and employees from and against all claims, losses~ damage~ injury~ and liability damages arising from errors} oremission, negligent or wronglul acts of the CONSULTANT in the performance of his services under this Agreement. This indemnification shall extend for a reasonable period of time after completion of the PRO3ECT as well as during the period of actual performance of services under this Agreement. Acceptance of the insurance certificates required under this Agreement does not relieve the CONSULTANT from liability under this indemnity and hold harmless clause. CITY'S contract for construction of PRO3ECT shall require contractor to defend, indemnify, and hold harmless the CONSULTANT, his officers and employees from and against all claims, losses, damage, injury and liability lor damages arising from errors, oremission, negligent or wrongful acts of contractor in the performance of its services under said construction contract.
