b. Consultant shall also obtain and keep in force and <br />effect during the term of this Agreement professional <br />liability insurance covering any loss arising out of or <br /> <br />related in any manner to the errors, omissions, or negligent <br />acts of Consultant, its employees, agents, consultants and/or <br />subcontractors, to Consultant in the minimum amount of One <br />Million Dollars ($1,000,000.00). <br /> <br /> c. Certificates of Insurance, as required by <br /> <br /> subparagraphs "a" and "b" hereinabove, shall also be filed <br /> with City when the Consultant executes this Agreement. <br /> <br /> 14. Indemnification <br /> <br /> Consultant shall indemnify, defend, and hold harmless <br /> <br />City, its Councilmembers, representatives, agents or employees <br />from and against all claims, injury, suits, demands, liability, <br />losses, damages and expenses, whether direct or indirect <br />(including any and all costs and expenses in connection <br /> <br />therewith), incurred by reason of any negligent or willful act or <br />failure to act of Consultant, its officers, employees or agents, <br />or subcontractors or any of them in connection with the <br />Agreement. In addition to any other remedy authorized by law, so <br />much of the money due Consultant under this Agreement as shall <br />reasonably be considered necessary by City may be retained until <br />disposition has been made of any claim for damages. <br /> <br /> <br />
