The City of Pleasanton
is proposing to finance the construction of major freeway
interchange and other freeway improvements utilizing assessment
district proceedings under the California Streets and Highways
Code. The assessment district proceedings, referred to as the
North Pleasanton Improvement District (NPID) are also being used
to finance major city street improvements in the Pleasanton area.
The freeway interchange and other freeway improvements are
estimated to cost in excess of $55 million.

The planned freeway improvements include:

Completion of interim improvements to the Hopyard Road
interchange on 1-580 (ramp modifications, road widenings,
signals, etc.)

Completion of ultimate improvements to the Hopyard Road
interchange on 1-580 (bridge widening, ramp modifications,
etc.)

Installation of north and south bound on and off ramps at
Stoneridge Road on 1-680 (ramps, bridge widening, etc.)

Modifications to the existing interchange at Santa Rita Road
on 1-580 (westbound off and eastbound on ramps, bridge
widening, etc.)

Completion of improvements to the West Las Positas Boulevard
interchange on 1-680 (North and South bound on/off ramps,
etc.)

Construction of a new interchange at Hacienda Drive on 1-680
(bridge structure, ramps, etc.)

g. A detailed work plan is difficult to develop due to
the number of separate improvements, their varying stages of
progress through the approval process, and the varying process
necessary due to their individual circumstances. Upon approval
of this Agreement, each improvement will be reviewed in detail
and separate "work plans" developed for each. Each "work plan"
will have as its primary objective the means for advising and
assisting the City of Pleasanton, the engineer at work, bond
counsel, and design engineer for the NPID in working with the

- 1 -
