Section B - Compensation and Payment Method The City shall reimburse the Engineer for services performed, as described in Section A, on a "time-and-materials" basis at the rates described in attached Exhibit "A". The total compensation and reimbursement paid Engineer for the services described in Section A shall not exceed a maximum sum of Thirty-Three Thousand Dollars ($33,000), unless otherwise agreed by the parties in writing. Engineer shall submit invoices to the City on a monthly basis. Invoices shall indicate the time actually spent on the project by the Engineer's employees. The City shall render payment to the Engineer within ten (10) days of receipt of each invoice. Section C - Amendments to Aqreement From time to time, circumstances or conditions may require changes to this agreement affecting the work program, the project task budget, or other terms or conditions. Such changes which are mutually aqreed upon between City and Engineer shall be incorporated in written amendments to this agreement. Section D - Termination The City shall have the absolute riqht to amend or terminate this agreement upon four (4) workinq days prior written notice, and such action shall in no event be deemed a breach of contract. In the event of any such termination, the Engineer will be paid for all unpaid services and unpaid reimbursable costs. Section E - Period of Service For services provided in Section A of this agreement, the period of performance will be concurrent with the construction of the two underpass structures and roadway approaches. If construction of the underpass structures is delayed or suspended for reasons beyond the Engineer's control, the City shall, in writinG, authorize an extension of time necessary to complete the services.
