BEST (hereinafter
referred to as "Property Owner") and the CITY OF PLEASANTON, a
municipal corporation (hereinafter referred to as "City"). The
City and Property Ov~ner agree as set forth below.

I. RECITALS

THIS AG}~EI~NT is made with reference to the following facts

and objectives:

1. Property Owner is the owner of real property in the

City of Pleasanton described in Exhibit "A", attached to this
agreement and made a part of it by this reference, which consists
generally of Parcel C of Parcel Map 2771 located on the southwest
corner of Valley Avenue and City Street/Boulder Drive.

2. Property Owner has applied for and received City approval

to subdivide Parcel C into two lots.

3. Valley Avenue and City Street/Boulder Drive are essentially
undeveloped access drives which do not meet City street standards
but are planned to be improved as properties develop along the streets.

4. As a condition of minor subdivision approval, the Property
Owner is required to improve Valley Avenue and City Street/Boulder
Drive to City standards, said condition being a normal City require-
ment and agreed to by the Property Owner.
