(g) The Association is a qualified organization to establish, promote and <br />conduct the programs of the District and has agreed to do so upon the terms <br />and conditions as hereinafter set forth. <br /> <br />(h) The Pleasanton City Council has determined that the public interest, <br />convenience and necessity require the execution of this Agreement to <br />provide for the services of Association as hereina~er set forth. <br /> <br />(2) TERM. The effective date of this Agreement shall commence on Octobor <br />28. 1997 December 8. 1999 and the Agreement shall continue until terminated <br />by either party as provided herein. <br /> <br />(3) CALIFORNIA MAIN STREET MODEL. The Association will adopt <br />and implement the California Main Street Model as its governance and operational <br />structure and actively pursue receipt of Main Street status by the California Main <br />Street Program. Consistent with that model, four major committees will be <br />maintained: Promotions and Marketing; Design; Organization; and Economic <br />Restructuring. Each committee will adopt work programs with measurable tasks, <br />and at a minimum undertake the following: <br /> <br />(a) Promotions and Marketing Committee: Association will create a <br />Promotions and Marketing Committee to oversee all activities to ensure <br />coordination and the best utilization of promotions and marketing. The <br />Association will also appoint separate chairpersons for each promotional <br />event held in the downtown. <br /> <br />(b) Design Committee: Association will establish and maintain a <br />Design Committee for input to the City regarding all design and <br />maintenance issues for the Downtown, and to provide encouragement for <br />individual property maintenance by merchants and property owners. <br /> <br />(c) Economic Restructuring Committee: Association will create an <br />Economic Restructuring Committee to assist the City's Economic <br />Development Manager, Economic Development Advisory Committee and <br />City Council with issues affecting Downtown. The Executive Director of <br />the Association will work with the City's Economic Development Manager <br />to develop and maintain an inventory of Downtown uses and available <br />space.
