' ~ ~ Attachment 3 <br />REIMBURSEMENT AGREEMENT FOR <br />CONSTRUCTION OF WATER TANK ACCESS ROAD <br />AND RELATED UTILITIES ~'~ "Y_ ~ ~~~D <br />~., , <br />This REIMBURSEMENT AGREEMENT FOR CONSTRUCTION OF WATER <br />TANK ACCESS ROAD AND RELATED UTILITIES (the "Agreement") is entered into <br />this y day ofMazch 2007, between the City of Pleasanton, a municipal corporation, <br />(the "City") and Threehand LP, a limited partnership (`"Threehand"). <br />RECITALS <br />A. City adopted the Vineyard Corridor Specific Plan (the "Specific Plan") in <br />June 1998 to guide future development within the Specific Plan's boundaries, and a key <br />element ofthe Specific Plan is the Vineyard Hills Reservov, a 1.4 million gallon, <br />partially buried, pre-stressed concrde reservoir (the "Water Tank"). <br />B. The Water Tank will be located on the southerly portion of a 20-acre <br />parcel owned by Threehand. This Water Tank site (and related easements) will be <br />granted to the City pursuant to a Purchase and Sale Agreement between the City and <br />Threehand, dated Januazy 25, 2005, as amended by the Fvst Amendment to Purchase and <br />Sale Agreement approved by the City Council on September 19, 2006 (collectively the <br />"Purchase and Sale Agreement"). <br />C. Pursuant to the terms of the Pwchase and Sale Agreement, the road to <br />access the Water Tank, estimated to be one thousand nine hundred (1900) feet long, will <br />be wnstruded as an 18 foot wide paved roadway with shoulders, Versa-Lok masonry <br />walls, joint trench utilities, storm drainage improvements, and water and sewer utility <br />lines installed within such access road to serve Threehand's identified six (6) new <br />residential lots, as well as to serve the existing residence, as provided in the Specific Plan, <br />and to provide access for City personnel, contractors and agents to access the Water <br />Tank for construction, regulaz maintenance and operations (as described more <br />particularly in Section 1, below). <br />D. After the City causes the Water Tank access road to be rough graded, as <br />further provided in the Purchase and Sale Agreement, Threehand will arrange for a <br />licensed grneral contractor ("the General Contractor") to construct the Improvements and <br />related construction management, subject to the City reimbursing Threehand for certain <br />costs associated therewith, as provided in this Agreement. <br />NOW, THEREFORE, the parties agree as follows: <br />1. Improvements. Threehand shall cause to be constructed the Improvements <br />based on final plans and specifications prepared by Aliquot Planners, Civil Engineers and <br />Surveyors ("Aliquot") and approved by the City Engineer, in his reasonable discretion, <br />Page 1 of 7 <br />
