Prudential shall pay to Warren <br />Twenty-Nine Thousand Seven Hundred Sixty-Two and 71/100ths <br />Dollars ($29,762.71) as additional consideration for Warren's <br />conveyance of Parcel A-1 tothe City. The parties acknowledge <br />that Parcel A-1 is part of a larger parcel owned by Warren and <br />leased to Burger King Corporation, that the conveyance of <br />Parcel A-1 to the City will result in a reduction of rent from <br />Burger King Corporation to Warren, and that the compensation <br />set forth in this agreement shall be the total compensation to <br />be received by Warren from either Prudential or the City as a <br />result of the conveyances described herein. <br /> <br /> ARTICLE 3 <br /> <br /> PRELIMINARY SURVEYS AND TESTS <br /> <br /> Upon the execution of this agreement and throughout <br />the escrow period, the City, Prudential and Hacienda shall have <br />the right to enter Parcels A-l, A-2, A-3 and A-4 to make <br />photographs, studies, surveys, examinations, tests, soundings, <br />borings, samplings or appraisals or to engage in similar <br />activities reasonably related to the use of Parcels A-l, A-2, <br />A-3 and A-4 for traffic improvements. <br /> <br /> ARTICLEs4 <br /> <br /> CONDITION PRECEDENT <br /> <br /> Obtaining a final subdivision map, parcel map, or lot <br />line adjustment which is approved by the City and which permits <br /> <br /> -7- <br /> <br /> <br />
