AGREEMENT FOR DESIGN AND CONSTRUCTION SERVICES BETWEEN THE CITY OF PLEASANTON AND DE LEUW, CATHER & COMPANY FOR PROPOSED VALLEY AVENUE RAILROAD GRADE SEPARATION AT THE UNION PACIFIC AND SOUTHERN PACIFIC RAILROADS IN PLEASANTON PARTIES: This Agreement is entered into this day of November, 1985, between the CITY OF PLEASANTON, a Municipal Corporation of the State of California, hereinafter called "City," and DE LEUW, CATHER & COMPANY, an Illinois Corporation having a place of business at 120 Howard Street, San Francisco, California, hereinafter called "Engineer." WITNESSETH WHEREAS, City desires preparation of final design plans, specifications, and cost estimates for a proposed Valley Avenue Grade Separation under the single-track mainline of the Union Pacific Railroad (formerly Western Pacific Railroad) and the tail track of the Southern Pacific Transportation Company in Pleasanton (herein called "Project"); and WHEREAS, Engineer is qualified and licensed to perform the professional engineering services required under the terms of this Agreement, and hereby agrees to perform such services in accordance with the terms and conditions stated hereinafter. NOW, THEREFORE, it is agreed by the parties hereto as follows: A. ENGINEER'S SCOPE OF SERVICES The Engineer shall be responsible for the following listed activities and services: DESIGN 1. Maintain liaison with Railroads, in an effort to expedite railroad trackwork, technical reviews, and other work performed by rai]road forces. Consult with Railroads with respect to location of piers and footings on railroad property and/or adjacent to railroad tracks, shooflys, maintaining rail traffic during construction, and other design requirements. 2. Assist the City in preparing and expediting the Request to Modify Decision before the PUC to allow construction of the underpass structure instead of the approved at-grade crossing.
