11. Billing Fees and Charges. City shall bill the County promptly for <br /> <br />all fees and charges as indicated herein. <br /> <br /> 12. Notices. All notices required to be given pursuant to this Agreement <br />shall be in writing and shall be deemed made and/or received two days following <br />their deposit in the United States mail, postage prepaid, and addressed as follows: <br /> <br /> CITY: Director of Public Works <br /> City of Pleasanton <br /> P.O. Box 520 <br /> Pleasanton, CA 94566 <br /> <br /> COUNTY: Director of Public Works <br /> Alameda County <br /> 399 Elmhurst Street <br /> Hayward, CA 94544 <br /> <br />Either party may change its address by written notice given pursuant to this section. <br /> <br /> 13. Attorney's Fees. If either party commences an action against the <br />other to enforce or interpret this Agreement, the prevailing party shall be <br />entitled to have and recover reasonable attorney's fees and costs of suit from <br />the party not prevailing. <br /> <br /> 14. Indemnification. County shall defend, indemnify, and hold City <br />harmless and City shall defend, indemnify, and hold County harmless for any injury <br />or death to any person or persons or damage to any property arising out of their <br />separate activities and obligations herein; and where such injury or death to any <br />person or persons or damage to property shall be wholly or partially caused <br />by the willful or negligent act of the other party, the party causing such injury, <br />death or damage shall defend, indemnify and hold harmless the other party. <br /> <br /> <br />
