any areas on the Property or Tower which are occupied by the City, Pleasanton, or any <br />other tenant, except for such areas that are the most direct pathway and joint trenching <br />identified by the City's Lease Manager as provided in subsection (d) below; and, <br />(d) As more specifically provided below in sections 4.3, and 6.2(C), Zone 7 shall <br />have anon-exclusive right to connect utilities to the Antenna and Equipment as those <br />terms are defined below, in the most direct pathways identified by the City's Lease <br />Manager. Zone 7 shall coordinate with City's Lease Manager prior to installing any such <br />utilities to evaluate the opportunity to place such utilities in joint trenching. <br />3. Eauipment and Antenna. <br />Zone 7 is responsible for conducting its own engineering and analysis of the Equipment <br />and Antenna necessary to operate a SCADA Communications Network from the Leased <br />Areas, including a review of the Tower to ensure that the Equipment and Antenna are <br />engineered and designed to meet the Tower's specifications without compromising the <br />integrity of the Tower or its use by the City, Pleasanton, or any other tenant occupying <br />space on the Tower or Property prior to Zone 7. <br />3.1 Antenna. Zone 7 has previously installed the four-way antenna identified in <br />Attachment "D" ("Antenna") at the Antenna Site for the operation of a SCADA <br />Communications Network. <br />3.2 Eauipment. Zone 7 has previously installed the equipment identified in Attachment <br />"E" ("Equipment") on the Premises for the operation of a SCADA Communications <br />Network. <br />3.3 Chanae in Eauipment or Antenna. Zone 7 shall not modify, alter, upgrade, or <br />otherwise change any Equipment or the Antenna identified in Attachments "D" and "E" <br />without the prior written consent of both City and Pleasanton, which shall not be <br />unreasonably withheld. Zone 7 may install the 2008 upgrade installation identified in <br />Attachment "E" provided it has complied with the provisions below and in section 7.6 <br />regarding interference and section 7.8 regarding radio frequency reporting and marking. <br />In order to obtain consent from the City and Pleasanton to change the Equipment or <br />Antenna, Zone 7 at its own cost and expense shall produce information and evidence to <br />the satisfaction of the City that the Equipment or Antenna to be installed will not interfere <br />with the use of the Tower Site by the City, Pleasanton and/or any occupant on the Tower. <br />At a minimum, the information and evidence shall include a technical report by a consultant <br />or expert qualified to evaluate radio frequency interference. <br />4. Rental <br />4.1. Base Rent. Zone 7 shall pay to City rent to the City of Livermore for the use of the <br />Leased Areas. The base rent during the first year of this Lease Agreement shall be $1,400 <br />a month ("Base Rent"). Zone 7 shall pay the Base Rent to City in annual installments of at <br />least $16,800 a year beginning on the Commencement Date of this Lease Agreement and <br />Lease Agreement -Zone 7 Page 3 <br />
