Aareement NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties hereby agree as follows: 1. Recitals The aforementioned recitals are true and correct. 2. Leased Areas 2.1 Description. The following areas are leased to Zone 7 by the City and Pleasanton subject to the terms and conditions of this Lease Agreement: 2.1.1 Premises: The City leases to Zone 7, and Zone 7 leases from the City, an approximately three foot by five foot (3' x 5') portion of the Property adjacent to the Tower and identified in Attachment "B" ("Premises")for the installation of Equipment related to the operation of the Antenna. 2.1.2 Antenna Site: The City and Pleasanton lease to Zone 7, and Zone 7 leases from the City and Pleasanton, space on the Tower, the location of which is identified in Attachment "C" ("Antenna Site"), for the placement of the Antenna. 2.1.3. Leased Areas: The Premises and Antenna Site shall be collectively referred to in this Lease Agreement as the "Leased Areas," and Attachments "B"and "C"identifying those areas are hereby incorporated into this Lease Agreement by reference as though set forth in full. 2.2 Appurtenant Riahts. For the duration of this Lease Agreement, including any extensions thereof, Zone 7 is hereby granted the following appurtenant rights: (a) Anon-exclusive right of access over and across the Property from Doolan Road to the Premises, and from the Premises to and across the Tower to the Antenna Site, for the limited purpose of accessing, installing, maintaining, servicing, replacing, and operating the Equipment and Antenna. The access areas shall be identified by the City's Lease Manager and shall be the most direct pathway possible in consideration of the City's construction activities and operations on the Property and the security requirements for the facilities thereon; (b) The right of access is limited to Zone 7, its employees, agents and designated representatives, and is expressly conditioned upon Zone 7's compliance with all terms and conditions of this Lease Agreement, including those set forth in section 7.2 regarding clearance; (c) The right of access does not grant Zone 7 any right across, over or through Lease Agreement -Zone 7 Page 2
