thereto, all cuts, fills, highway pavement, curbs and gutters, <br />sidewalks, guard rail, drainage facilities, slope planting, <br />buffer planting, retaining walls, street lighting, canal construc- <br />tion, necessary track work, changes to telegraph, telephone, <br />signal and electrical lines and appurtenances, including, if any, <br />their temporary relocation during construction, and all other work <br />necessary to accomplish the construction of the grade separation over, <br />under, or adjacent to the Railroad's right of way. The underpass will' <br />be built to accommodate two tracks as shown in Exhibit A attached <br />hereto and made a part hereof. One of the tracks will be a Western <br />Pacific mainline track and the other will be a Southern Pacific tail <br />track. The Western Pacific will have the right to use the tail track <br />under terms and conditions as provided for in that certain Joint <br />Track Agreement dated October 12, 1981, between Western Pacific and <br />Southern Pacific. <br /> <br /> The railroad work on the north half of the underpass will be <br />performed by the Western Pacific and on the south half by Southern <br />Pacific. <br /> <br /> The parties hereto desire to reduce to writing their understanding <br />and agreement pursuant to which th~Underpass is to be located, <br />constructed, used and maintained. <br />AGREEMENT: <br /> <br /> NOW, THEREFORE, it is agreed as follows: <br /> <br /> ARTICLE I <br /> <br /> In consideration of the covenants of the City hereinafter contained, <br />Railroads agree: <br /> <br /> <br />
