subject to reasonable review and approval of the location by Zone <br /> 7 as provided in Section 3. <br /> <br /> 2. City Conveyance of Parcel A-2 Adjacent to G-l-1 Channel. <br /> City shall quitclaim to Zone 7 all of its right, title and <br /> interest in that certain real property consisting of <br /> approximately 1.0775 acres (a portion of APN 941-1302-2-222) in <br /> the form attached hereto as Exhibit "A-2" ("Parcel A-2" also <br /> designated as "R/W No. 7568") located between Stoneridge Drive <br /> and the G-l-1 Channel reserving all existing easements as shown <br /> on Exhibit A-2. Zone 7 agrees to comply with City's design <br /> review procedures in the development of Parcel A-2. <br /> <br /> 3. Zone 7 Conveyance of Parcel B-2 (Transverse Crossing of <br />Canal). Upon request by the City within 25 years of the <br />execution of this agreement, Zone 7 shall convey to the City a 64 <br />ft. transverse right-of-way easement in gross across the G-l-1 <br />Channel at a point perpendicular to Parcel A-1 and extending <br />through Parcel A-1 ("Transverse Easement"). The Transverse <br />Easement shall be at a location to be specified by the City <br />subject to reasonable review and approval of the location by Zone <br />7. Zone 7 shall have the right to reasonably review and approve <br />and bridge structure or other encroachment within the area of the <br />Transverse Easement which affects the flow of water within the <br />G-l-1 Channel or the maintenance thereof. <br /> <br /> 4. Zone 7 Conveyance of Parcel B-1 (Portion of Pleasanton <br />Canal). Zone 7 shall quitclaim to the City all its right, title <br />and interest in that certain real property consisting of 1.89 <br />acres (a portion of APN 946-3215-4) as shown and described in <br />Exhibit "B-i" ("Parcel B-i" also designated as "R/W No. 7530"). <br />Parcel B-1 is the southerly portion of the Pleasanton Canal and <br />City owns the northerly portion of the Pleasanton Canal at that <br />location. <br /> <br /> 5. City Reconveyance of Access Easement Through Pleasanton <br />Canal. City plans to have a parking facility constructed over <br />the Pleasanton Canal which covers a portion of Parcel B-1 and <br />adjacent City lands. City shall convey to Zone 7 the perpetual, <br />non-exclusive easement and right-of-way for ingress and egress of <br />pedestrians, vehicles, and equipment for the purpose of <br />facilitating the installation, maintenance and inspection of that <br />certain water supply facility known as Hopyard Well Field over, <br />along, and across that certain real property (a portion of APN <br />946-3215-3-3, APN 946-3215-4, and APN 941-800-4-5) in the form <br />attached hereto as Exhibit "C-i" ("Parcel C-i"). <br /> <br /> 6. Right of Entry. Upon execution of this Agreement by all <br />parties, each party hereto shall be entitled to and shall <br />thereafter have a right of entry and may initiate construction on <br />the parcels to which that party is to receive title pursuant to <br />this agreement. <br /> <br /> 7. Recordation. All conveyances made pursuant to this <br />Agreement shall be in recordable form and may be recorded by <br />either party. <br /> <br /> - 2 - <br /> <br /> <br />
