g. Contractor shall make emergency calls to make <br /> temporary repairs to signal equipment, safety lighting, <br /> street name signs, flashing beacons, pedestrian signals, and <br /> detector devices embedded in the roadway not expressly <br /> covered by this Agreement, but the Contractor may be called <br /> upon from time to time by City Engineer to repair, replace or <br /> refurbish equipment damaged by vehicle accidents, acts of <br /> God, malicious damage, or similar incidents. Costs for such <br /> services under this subsection shall be paid pursuant to <br /> -Paragraph 3(b). <br /> <br /> h. If the Contractor removes a controller to maintain, <br /> repair, inspect, clean, adjust, or related activity, <br /> Contractor shall furnish a temporary replacement controller <br /> of similar type. If it becomes necessary for the Contractor <br /> to remove a system controller, the City shall provide a spare <br /> system controller. The spare system controllers shall remain <br /> the property of the City, and shall be returned immediately <br /> to the City after the permanent controller is repaired. <br /> <br /> 2. Term. The term of this Agreement shall be for five (5) <br />years as of the date and year first above written, provided <br />either party at its discretion shall have the right to terminate <br />at any time sooner by giving ninety (90) days advance written <br />notice or as specified in Paragraph 7 of this Agreement. <br /> <br /> 3. Compensation. For the equipment, maintenance and <br />services to be rendered pursuant to this Agreement, City shall <br />pay Contractor for each signalized intersection the sum of <br />Eighty-two and 32/100 Dollars ($82.32) per month; regardless of <br />facilities installed, except as provided hereinafter in <br />subparagraph (a). <br /> <br /> a. all fixed time, semi-actuated, or fully actuated <br /> signals which as installed from time to time shall be added <br /> to those already listed on Exhibit "A" (List of <br /> Intersections). These signals shall be maintained at the <br /> same rate and in the same manner as those covered by this <br /> Agreement. In the event notification is made at other than <br /> the beginning of a monthly pay period, payment for that month <br /> shall be prorated from the day the Contractor is notified. <br /> Agreement period shall begin the first day of each month and <br /> prorated rate shall be based on a thirty (30) day month. <br /> <br /> b. City agrees to pay the repairs over and above the <br /> Agreement price when repairs are made necessary due to <br /> obsolescence, damage to signals by collision, acts of God, or <br /> malicious mischief. The cost of such repairs shall be based <br /> on the invoice cost of materials and adjusted cost of labor <br /> and overhead. Overhead shall not exceed 25% of labor costs. <br /> Labor costs will be at Contractor's prevailing standard rates <br /> for job classifications as stated in Exhibit "B", Labor Rate <br /> Schedule, when repairs are made. <br /> <br /> c. On the anniversary date of this execution of this <br /> Agreement, the monthly maintenance rate per intersection <br /> <br /> - 2 - <br /> <br /> <br />
