AGREEMENT <br /> <br /> NOW, THEREFORE, for and in consideration of the covenants <br /> contained here~n, the parties hereto agree as follows: <br /> <br /> 1. Purpose~ <br /> <br /> It is the intention of the parties to establish terms <br />and conditions for the successful management and operation of the <br />Amador Theater upon completion of its renovation. <br /> <br /> 2. Management of Facility and Adoption of Policy. <br /> <br /> a. The City shall be responsible for management, <br />staffing, and control of the Theater, except as otherwise <br />provided herein. <br /> <br /> b. The City shall book events, establish use policies <br />and fees, and provide for the maintenance, improvement, and <br />repair of the Theater, except as otherwise provided herein. <br /> <br /> c. The City Council may, by resolution adopt use <br />policies and establish fees, but shall give thirty (30) days <br />notice to the District prior to adoption of any such use policy <br />or fee whenever that policy or fee may have a significant effect <br />on District. <br /> <br /> 3. School District Use of Theater. <br /> <br /> a. The District shall be allowed use of the Theater <br />including the main stage area for sixty (60) days each year <br />without fee. The sixty days shall consist of two blocks of <br />thirty (30) days each, which shall be scheduled three years in <br />advance of use. <br /> <br /> b. If the Theater has not been booked by third parties <br />at any time during the period sixty (60) days to fourteen (14) <br />days in advance of a certain date or dates, then District shall <br />have the right to schedule an event for that date or dates. <br />During periods when other uses are scheduled for evening, City <br />will cooperate to schedule educational activities during daytime <br />hours if compatible with scheduled evening activities. <br /> <br /> c. The District will comply with use policies <br />applicable to all users of the Theater. Additional costs unique <br />to a planned event which are generally covered by users of the <br />Theater, such as professional lighting technicians and the like, <br />shall be the responsibility of the District. <br /> <br /> 4. Cooperative Use. <br /> <br /> a. Both parties agree to cooperate to achieve dual use <br />of the facility as necessary to maximize effective use of the <br />Theater. This may include permitting use of the proposed stage <br />set wing by third parties, making rehearsal space available <br />elsewhere on the Amador High School campus or City facilities. <br /> <br /> - 2 - <br /> <br /> <br />
