the proposed Valley Avenue between Santa Rita Road and Stanley
Boulevard (Decision 85-08-037). Subsequently, the City entered
into a Memorandum of Understanding "(MOU") with the Southern
Pacific Transportation Company (SPTCo) and the Western Pacific
Railroad (WPRR). Pursuant to that MOU, the City has applied to
the PUC for a modification to Decision No. 85-08-037 to permit a
grade separation rather than an at-grade crossing at the point
where Valley Avenue intersects the WPRR mainline. On March 5,
1986, the PUC approved that grade separation (PUC Decision 86-03-
044).

D. The Valley Avenue Extension Project as now proposed con-
sists of two public at-grade street crossings of the existing
railroad tracks, a grade separation at the WPRR mainline, the
extension of Valley Avenue to connect with Stanley Boulevard, the
lowering and widening of Stanley Boulevard, and related improve-
ments (See Exhibit B attached).

E. The Auf der Maur Parcel is within the area which will
specially benefit from the proposed Valley Avenue Extension
Project.

F. The City plans to form an assessment district to be
called the Valley Avenue Extension Assessment District ("Assess-
ment District") to finance some portion of the cost of the Valley
Avenue Extension Project.

G. Construction of the proposed segment of Bernal Avenue
from the bridge across the Arroyo Del Valle to Stanley Boulevard
("Proposed Bernal Extension") is complementary to the Valley

- 2 -
