d. Smith shall be available, at the request of the City and upon reasonable notice, to attend meetings and give oral and written status reports on the various NPID projects to the City Council, City officials, participants in the NPID, and other individuals, groups, or organizations. 2. Administrative Supervision. Smith shall receive ad- ministrative supervision in undertaking the services described herein from the City's Director of Public Works or his designee. 3. Delegation as City's Representative. The City hereby designates Smith to act as its representative with the California State Legislature and various state and local governmental com- mittees, commissions, and persons involved in governmental af- fairs affecting the City's interests as described herein. 4. Professional Skill Required. Smith warrants'that it has the professional skills necessary, and agrees to ~se these skills, to perform the services described in this Agreement, and it is understood and agreed that the City is relying on these skills of Smith to do and perform the services in a skillful and professional manner. 5. Applicable Laws. Smith shall perform the services described in this Agreement in full compliance with all ap- plicable laws, rules, and regulations and shall, in cooperation with the City, file all reports required of it by applicable law in a timely manner. The term of this Agreement shall end on June 30, 1987. In the event one or more of the NPID-contemplated improve- ments has not received "authorization to advertise" from the FHWA by the termination date, the City and Smith agree to meet to negotiate a successor agreement mutually agreeable to both parties. 7. Compensation. For the services to be rendered pursuant to this Agreement, the City shall pay Smith in accordance with the following: a. The City shall pay Smith on a time and materials basis in accordance with the rates shown in Exhibit A, said rates subject to revision on the anniversary date of this Agreement upon mutual agreement. b. Upon authorization by the Director of Public Works prior to their being incurred, the City shall pay chargeable expenses at cost plus fifteen percent (15%). Chargeable ex- penses shall include reasonable and necessary entertainment expenses, travel outside the Pleasanton area, and costs in- curred in developing or preparing special reports or studies that may be required by the City, MTC, CALTRANS, CTC, FHWA, or Alameda County requiring the services of specialized con- sultants (e.g. noise, traffic, air quality, etc.). - 2 -
