CONSULTANT AGR~BMBlqT <br /> <br /> THIS AGREEMENT is entered into as of the day of April, <br />1986, by and between SMITM, GRAY AMD COMPAMY, a California cor- <br />poration (hereinafter referred to as "Smith") and the CITY OF <br />PL~.ASAMTOM, a municipal corporation (hereinafter referred to as <br />"City"). <br /> <br /> WHEREAS, in conjunction with the development of north <br />Pleasanton, ,the City has contemplated forming the North Pleasan- <br />ton Improvement District (NPID) to construct, among other im- <br />provements, various freeway interchanges and auxiliary lanes; and <br /> <br /> WHEREAS, it is the intent of the City to construct the con- <br />templated improvements at the earliest possible time and at the <br />lowest cost to the City and the participants within t~e NPID; and <br /> <br /> WHEREAS, Smith is qualified in providing professional ser- <br />vices in transportation consulting, legislative advocacy and <br />governmental affairs in relation to the transportation facilities <br />contemplated for the NPID and is qualified to represent and advo- <br />cate the City's interests in bringing these improvements to the <br />point of construction; and <br /> <br /> WHEREAS, the City wishes to retain Smith in the above capaci- <br />ty and Smith wishes to provide such services to the City; <br /> <br /> NOW, THEREFORE, the parties hereto agree to the following: <br /> <br /> 1. Smith Services. Smith agrees to perform on behalf of <br />the City services in transportation consulting, legislative ad- <br />vocacy, and governmental affairs in relation to the City's inter- <br />ests in the state and federal highway transportation facilities <br />contemplated for inclusion in the NPID. Such services and <br />facilities are listed as Phase I in the proposal dated April 1, <br />1986 attached hereto and incorporated herein by this reference as <br />Exhibit B. <br /> <br /> a. In performing such services, Smith shall work to- <br /> ward insuring that all contemplated improvements are approved <br /> for construction at the earliest possible time and that the <br /> City's share of the cost of the improvements is the least <br /> possible. <br /> <br /> b. Smith shall advise and assist the City in connec- <br /> tion with meetings and appearances by or on behalf of the <br /> City with or before other local governments, state legisla- <br /> tive and governmental councils, boards, committees, and <br /> commissions. <br /> <br /> c. Smith shall review and analyze state and federal <br /> legislation and promptly advise the City of those issues, <br /> activities, or proposed actions which might affect the im- <br /> plementation of the NPID-contemplated transportation <br /> facilities. <br /> <br /> - 1 - <br /> <br /> <br />
