7- City shall, within thirty (30) days after <br /> <br />completion of work hereunder, pay to Pacific the flat sum amount <br />of Twenty Eight Thousand Six Hundred dollars ($28,600.00). <br /> <br /> 8. Applicant shall not assign this agreement or any <br /> <br />part hereof without the prior written consent of PacBell. <br /> <br /> 9. The terms of this agreement cannot be waived, <br /> <br />altered, or amended by any representations or promises of any <br />person unless consented to in writing by PacBell and Applicant. <br /> <br /> 10. If any action is brought to adjudicate the <br /> <br />rights granted herein or to enforce any of the terms of this <br />agreement, the prevailing party shall be entitled to an award of <br />reasonable attorney's fees in an amount to be determined by a <br />court or a tribunal of competent jurisdiction. <br /> <br /> 11. This agreement shall at all times be subject to <br /> <br />such changes or modifications by the Public Utilities Commission <br />of the State of California, as said Commission may, from time to <br />time, direct in the exercise of its jurisdiction. <br /> <br /> 12. This agreement represents the entire agreement <br /> <br />and undertaking between the parties hereto relating to the <br />specific matter referenced herein. There are no terms, <br />obligations, covenants, representations, statements, or <br />conditions other than those contained herein. <br /> <br /> 13.
