relations, including any proposed revision of Rules and <br /> Regulations governing employee relations; and, on IEDA's <br /> own initiative, recommends such changes or actions as it <br /> may deem advisable. <br /> <br /> K. In general, acts as the jurisdiction's labor relations <br /> representative, subject to the direction of the <br /> jurisdiction's management and its City Council. <br /> <br />2. ASSIGNMENT TO SUBSIDIARY <br /> <br /> It is agreed that the Association shall have the right to <br /> assign its interest in this agreement to its subsidiary, <br /> IEDA, Inc., which is controlled and staffed by the <br /> Association. <br /> <br />3. PAYMENT <br /> <br /> A. The City agrees to pay the Association and the <br /> Association agrees to accept in full and complete <br /> payment for all services rendered under this agreement <br /> the sum of Nineteen Thousand Forty-Two Dollars and No <br /> Cents ($19,042.00) per year. <br /> <br /> B. Payment of the annual fee shall be made in three (3) <br /> equal installments of Six Thousand Three Hundred <br /> Forty-Seven Dollars and Thirty-Three Cents ($6,347.33) <br /> each on February 9th, June 9th, and October 9th of each <br /> year, commencing on February 9, 1987. <br /> <br />4. TERM <br /> <br /> This agreement shall be effective February 9, 1987 and shall <br /> remain in effect until such time as either the City or the <br /> Association my exercise the provisions of Item 5 below. <br /> <br />5. TERMINATION <br /> <br /> Either the City or the Association may terminate this <br /> agreement at any time upon thirty (30) days' written notice <br /> to the other. In the event of such termination, the <br /> Association's annual fee shall be prorated according to the <br /> number of whole months this agreement was in effect during <br /> the fiscal year; e.g., if the agreement was in effect for <br /> three (3) whole months, the Association's fee for that fiscal <br /> year shall be 3/12 of the sum specified in Item 3A. <br /> <br /> - 3 - <br /> <br /> <br />
