Transfer of Possession; Effective Date; Term. <br />a. District shall convey the Property to the City <br />within ninety (90) days of the date of this Agreement. <br />b. This agreement may be terminated by mutual <br />agreement of both parties. If this agreement is terminated <br />for any reason, the City shall, within ninety (90) days, <br />convey all its right, title and interest in the Property to <br />the District. The parties agree that possession and control <br />of the Theater and ownership of any improvements, fixtures, <br />etc. shall immediately revert to the District. <br />13. Cooperation Clause. Both City and District agree to <br />cooperate and exercise best efforts as necessary to make the <br />Amador Theater into a successful and viable community <br />institution. <br />- 6 - <br />
