Avenue and Del Valle Parkway through the Auf der Maur Parcel. By
the terms of that agreement, the City would construct the street
and the Owners would reimburse the City for that cost at the time
the Auf der Maur Parcel develops. Pursuant to a March 19, 1984
letter to Frank Auf der Maur from R. L. Warnick, the amount of
reimbursement due was determined to be Ninety Thousand Five
Hundred Fifty and 33/100 Dollars ($90,550.33).

E. On September 1, 1987, the City approved an agreement
with Amador Valley Savings in which Amador Valley Savings agreed,
among other things, to contribute up to Fifty Thousand Dollars
($50,000.00) beyond its pro rata share toward the cost of the
Bernal Avenue Extension.

F. The intention of the parties to this agreement is to
provide for immediate construction of the Bernal Avenue Extension
through the Auf der Maur Parcel as a minimum four lane street.
This will be the final link in the City's Bernal/Valley
circulation loop. The benefits to Owners are a combination of
cost offsets provided herein which moderate the cost of
constructing the full width Bernal Avenue Extension prior to
development of the Auf der Maur Parcel.

NOW, THEREFORE, the Owners and City agree as follows:

1. Obligations of Owner

a. Construct Bernal Avenue Extension

(1) Owner will construct a minimum four lane
Bernal Avenue Extension from Del Valle Parkway north to

- 2 -
