Item 6d Transfer of Cable Television Franchise from Viacorn Cable to Tele-Communications. Inc. (SR 95:428) Chris Sherwood, Management Analyst, presented the staff report. There is a question whether or not TCIC agrees with the proposed Section 10 of the "Change of Control Consent Agreement." Valerie Casteliana, representing TCI, stated that TCI has always had difficulty with the provisions that TCIC would sign the franchise agreement with Pleasanton and Livermore. Currently, TCIC does not have an agreement with Viacorn International which is the parent company to Telc-Vue, Inc. The reason TCIC would not want to be a signatory is that it impacats its ability to borrow. That is why it wants to use a subsidiary as a signatory. This is not to suggest that TCI will not stand behind every obligation in the franchise agreement. Further, it does not suggest that TCI does not have the financial assets to support the obligations of the franchise. Mayor Tarver stated that the signature is needed so the City knows who is standing behind the franchise agreement. Mr. Roush stated that he would like the Council to specifically request who it wants to sign the Franchise Agreement. James Negri, Pleasanton Unified School District, 4665 Bernal Avenue, stated he was in total support of the three PEG channels. The District would like to request that one of the PEG channels be devoted exclusively to education. It was moved by Mayor Tarver, seconded by Ma. Denn[% to approve Resolution 9~-149, approving the transfer of the City's cable television franchise from Viacorn Cable to Tele-Communication Inc.
