EXHIBIT A

MRBISSELL &
KARN, INC.
4637 Chabot Dr., Suite 204
Pleasanton, CA 94566
(415) 463-0660

May 5, 1988 Job #8704139,40

Mr. Gary A. Leach
Assistant Director of Public Works
City of Pleasanton
200 Old Sernal Avenue
Pleasanton, CA 94566

Subject: Engineering Services Proposal for Design of the Replacement for
the Foothill #1 Booster Pump Station for Ultimate Capacity

Dear Mr. Leach:

As you requested, we are submitting this proposal for the additional design
services required for a pump station to replace the Foothill # 1 Booster
Pum~ Station with one sized for ultimate capacity in the 770 Zone. This
work will supplement the work we are now doing to design a temporary
relocated station sized only for existing demands.

To review the status of the project at this time, our original contract,
dated October 6, 1987, was amended February 16, 1988 to include (among other
things) design for relocation of the Foothill # 1 Booster Station to a
temporary station with adequate capacity for existing development. The
contract amendment included $7,700 for this work. The plan for a temporary
station was based on the expectation that when Golden Eagle Farms was
developed a new, permanent pump station would be constructed to replace the
Foothill #1 Booster Station. At this time it appears that Golden Eagle
Farms will develop sooner than anticipated in January - February and that it
will be desirable to skip the step of building a temporary station and
proceed directly to design and construction of the permanent pump station.

It is our understanding that the City has reached an agreement with the
developer of Golden Eagle Farms that the best approach to providing water
service to that project would be to include the necessary capacity in this
pump station, and to provide additional facilities on-site as may be
required. Therefore, the City has requested that our work to design a
relocated pump station, a part of the work required for implementation of
the Foothill Pressure Zone, be expanded such that the pump station be
designed for the ultimate development projected for the 770 Zone.

The following scope of work covers all tasks necessary to the planning and
design of the proposed pump station. The section presenting the estimated
fee likewise includes the fee for all tasks. Our request for additional
fees on the project will be in the amount of the fee estimated for design of
the permanent pump station, less the $7,700 already authorized.

WDP.8.27
