ATTACHMENT 5 <br />COST-SHARING AGREEMENT between <br />SURPLUS PROPERTY AUTHORITY OF ALAMEDA <br />COUNTY, <br />CITY OF LIVERMORE and CITY OF PLEASANTON <br />This Cost Sharing Agreement entered into on , 2007 by and between <br />the Surplus Property Authority of Alameda County, (hereinafter referred to as <br />"AUTHORITY"), the City of Pleasanton (hereinafter referred to as "PLEASANTON") <br />and the City of Livermore (hereinafter referred to as "LIVERMORE"). The parties <br />hereby agree as follows: <br />RECITALS <br />A. LIVERMORE has prepared a specific plan ("El Charro Specific Plan") to <br />guide the future potential uses and development of approximately 250 acres <br />just east of El Charro Road at the western edge of LIVERMORE, as more <br />particularly described and depicted on Exhibits A-1 and A-2 attached hereto <br />and incorporated herein by this reference ("El Charro Specific Plan Area"). <br />B. AUTHORITY is the owner of approximately 124 acres of real property <br />located in unincorporated County immediately to the east of PLEASANTON <br />commonly known as Staples Ranch and more particularly described and <br />depicted in Exhibits B-1 and B-2 attached hereto and incorporated herein by <br />this reference ("Staples Ranch Property"). The Staples Ranch Property is <br />located within PLEASANTON's sphere of influence, and it is anticipated that <br />PLEASANTON will annex the Staples Ranch Property promptly following <br />approval of the Staples Ranch Project, as defined below. <br />C. PLEASANTON is preparing an amendment to the Stoneridge Drive Specific <br />Plan to guide future development of the Staples Ranch Property ("Staples <br />Ranch Specific Plan"). <br />D. On May 16, 2006, LIVERMORE issued a Notice of Preparation, with respect <br />to a Draft Environmental Impact Report ("EIR") for the El Charro Specific <br />Plan. On January 11, 2007, LIVERMORE released the Draft EIR for the El <br />Charro Specific Plan for public review and comment. On April 13, 2007, <br />LIVERMORE distributed the Final EIR. On July 9, 2007, the Livermore City <br />Council certified the Final EIR for the El Charro Specific Plan <br />("LIVERMORE EIR"). <br />E. AUTHORITY has proposed amixed-use development project on the Staples <br />Ranch Property as described in the Notice of Preparation for the Stoneridge <br />Drive Specific Plan Amendment/Staples Ranch DEIR, dated March 19, 2007 <br />and prepared by PLEASANTON, ("Staples Ranch Project").
