EXHIBIT 2-A

AMENDMENT NO. 2
HACIENDA DRIVE INTERCHANGE
ON 1-580
PLEASANTON, CALIFORNIA

SCOPE OF SERVICES

BACKGROUND

The City of Pleasanton, through the North Pleasanton Improve-
ment District (NPID), is proposing to finance and construct
a new interchange between Santa Rita Road and Hopyard Road
along Interstate Route 580. The proposed improvements are
more specifically shown on the preliminary plans and other
material produced under AMENDMENT NO. 1 to the AGREEMENT.

Conceptual geometrics of the proposed interim and ultimate
improvements have been developed in previous studies and
have been submitted to Caltrans for approval. The prelimi-
nary design and design reports for a portion of the proposed
improvements have been prepared by the CONSULTANT under
AMENDMENT No. 1 to the AGREEMENT but have not been approved
by Caltrans at the date of execution of this AMENDMENT.
This AMENDMENT is for final design drawings for the interim
project defined by the geometric approval drawings. The
interim project shall also include the design of the west-
and eastbound auxiliary lanes on 1-580 from Sta. 308+00 to
Sta. 385+00 and Hacienda Drive about 1,000 feet north and
south of the centerline of 1-580.

The purpose of this AMENDMENT is to develop the final design
of the improvements; prepare the plans, specifications, and
estimate (PS&E); submit the PS&E to the CITY and Caltrans
for review and approval; prepare the final construction bid-
ding documents; and assist the CITY during bidding.

The following assumptions apply to the project and the work
included in this AMENDMENT:

o Any substantial change in geometric configuration
(number of lanes or type of interchange) at any
time after receipt of approved preliminary draw-
ings, reports, documents and other material pro-
duced under AMENDMENT NO. 1 from Caltrans or
others, may be cause for renegotiation of the fixed
fee.

o The project design and the resulting products will
be subject to review by the CITY, Caltrans, and
the Federal Highway Administration (FHWA), all of
whom must approve the project plans.

- 1 -
