nor shall any of the rights or privileges herein granted or authorized be leased or assigned, either in whole or in part, without prior approval of the City, which approval shall not unreasonably be withheld. Excepted from the aforementioned restrictions shall be the ability of the principals of Pleasanton Garbage Service, Inc, to transfer their interests to related parties . 24.2 Right of First Refusal. Collector and City agree that City shall have a right of first refusal to purchase the business under the terms and conditions of any Bona Fide sales contract which Collector desires to accept. City shall have thirty (30) days from the date it receives notice from Collector of a Bona Fide offer to purchase, to notify the Collector of its desire to purchase the business under the same terms and conditions as set forth in the notice. If City does not respond within said thirty (30) days then it shall be deemed to have waived its right of first refusal. This right shall not extend to sales, assignments, or other transfers of the stock or beneficial interest of the corporation of Collector between related parties. The City shall have the option to require reasonable conditions as approval for any said sale or transfer, including conditions as to franchise term and services. Provided, however, that in no event shall the franchise terminate prior to June 30, 2000.
