described in item 3 above or outside the schedule agreed upon will be charged at the Consultant's prevailing rates. These payments are due within 30 days of billing and will be subject to the service fees as described in Paragraph 7. 7. Method of Payment. The Employer will pay to the Consultant the amount set forth in Paragraph 6, which shall constitute full and complete compensation for the Consultant's services. The Consultant will submit a monthly bill to the Employer for services described herein. The billing schedule will be as follows: $5000 after the job analysis workshop $5000 after submittal of draft supplemental applications $5000 after final supplemental applications submitted $5000 after oral interviews submitted Payment will be made to the Consultant by the Employer upon the receipt of the Consultant's bill. A service fee of one and one-half percent (1-1/2%) per month, eighteen percent (18%) per year will be charged on all unpaid balances in excess of forty-five (45) days past due. 8. Audit and Inspection of Records. The Consultant shall keep accurate records of costs on a generally-recognized accounting basis. These cost records shall be provided to the Employer or its authorized representatives at a mutually-convenient time for audit at a location mutually-acceptable to the parties for up to six (6) months after the date specified in Paragraph 5. The Consultant shall permit the authorized representative of the Employer to inspect and audit all of its data and records relating to the performance under this Agreement. 9. Termination of Aqreement. This Agreement shall terminate upon completion of the project. However, this Agreement may be terminated by either party, without regard for fault, upon ten (10) days written notice. In the event this Agreement is terminated prior to the completion of the project, the Employer shall pay the Consultant its costs incurred to the time of termination and to include a reasonable amount of time to document project status, organize and file project materials. Costs shall include fees charged, expenses, and computer charges for work performed. The prevailing party, in any dispute over this Agreement, will receive attorney fees and other costs from the other party. If the Consultant is the prevailing party, costs will include time and expenses at prevailing billing rates spent in the work described in the Agreement as well as suit preparation.
