CONTRACT FOR CONSULTANT SERVICES AND COMPUTER SOFTWARE <br /> <br /> THIS AGREEMENT is made and entered into this day of <br /> , 19__, by and between the CITY OF PLEASANTON, a municipal <br />corporation (hereinafter referred to as "City"), and Muni <br />Financial Services, Inc., a California Corporation, 31010 Avenida <br />Buena Suerte, Suite 22, Temecula, CA 92390 (hereinafter referred <br />to as "Consultant"). <br /> W I T N E S S E T H: <br /> <br /> A. Consultant is qualified to provide, and experienced in <br />providing, consulting services and computer software, and has <br />offered its services and software for the purposes specified in <br />this Agreement. <br /> <br /> B. In the judgment of the City, it is necessary and <br />advisable to use the services and software of Consultant for the <br />purpose of reviewing the City's operations as said operations <br />pertain to the administering of 1915 Act assessment districts. <br /> <br /> NOW, THEREFORE, in consideration of the mutual covenants, <br />agreements, and conditions contained herein, City and Consultant <br />agree as follows: <br /> <br /> 1. Consultant's Services. Consultant shall perform the <br />services and furnish the computer software as hereinafter set <br />forth. A detailed Scope of Services is described in paragraphs 1 <br />through 7 of a letter dated October 30, 1989, from Consultant to <br />City, a copy of which letter is attached hereto and incorporated <br />herein by reference. <br /> <br /> a. During Phase One, Consultant shall review operations <br />as they pertain to the administration of 1915 Act assessment <br />districts. The review will cover at a minimum the following <br />aspects of administration: <br /> <br /> 1. Cost Recovery <br /> 2. Delinquency Management <br /> 3. Policies and Procedures <br /> <br />Consultant shall-provide City with a letter summarizing the <br />findings of its work. Consultant shall also be available to <br />provide consulting services to the City to help resolve the <br />findings identified within the summary report. <br /> <br /> b. During Phase Two, Consultant shall computerize the <br />administration of special district on its MFS software. <br />Consultant shall lease its software to City according to the <br />provisions of the Software Licensing Agreement (See Attachment A). <br /> <br /> -1- <br /> <br /> <br />
