1. DEFINITIONS <br /> <br /> 1.A Software shall mean the Licensed Programs and Related <br /> Materials identified on the preceding SCHEDULE and would include <br /> additional items ordered from time to time by AGENCY subject to <br /> written acceptance by MFS. <br /> <br /> 1.B Licensed Program shall mean the program material in <br /> machine-readable or interpreted form. <br /> <br /> 1.C Related Materials shall mean all material other than the <br /> Licensed Program furnished by MFS in conjunction with such Licensed <br /> program and including, for example, operating instructions, input <br /> information or format specifications, instructional and other <br /> documentation including all guides and manuals, and further shall <br /> include all permitted copies of Software material made by AGENCY. <br /> <br /> 1.D Designated Computer System shall mean the system <br /> configuration including a processing unit designated by type and <br /> serial number. <br /> <br />1.E Installation Support shall include hardware and software <br />orientation services and application Software services. <br />Furthermore, it shall include consulting support requested by <br />AGENCY and agreed to be provided by MFS at its then current rates. <br /> <br />1.F Training shall include MFSts training courses for hardware, <br />software, and system management. These services will be provided <br />at the then current rates. <br /> <br /> 2. LICENSE AGREEMENT <br /> <br />2.A MFS grants to AGENCY and AGENCY hereby accepts, subject to <br />provisions in Paragraph 7, a personal, nonexclusive, <br />nontransferable right and license to use the Software on the <br />Designated System and to use the Related Materials in conjunction <br />therewith. <br /> <br />2.B A separate license is required by each Designated System into <br />which the Licensed Program or any portion thereof is used~ HOWEVER, <br />this License may be temporarily transferred to a back-up system if <br />the Designated System is inoperative because of conditions beyond <br />AGENCY~S control. <br /> <br />3. DELIVERY OF PROGRAMS <br /> <br />3. MFS shall furnish AGENCY on or about the estimated delivery <br />date specified in the SCHEDULE the then current version of the <br />Software in a medium suitable for use on the Designated System. <br /> <br /> <br />
