OWner and Agent shall,. in every instance where the approval of, or <br />notice to, the Cit.y or CHFA is required, OWner and Agent shall request Such <br />approval Or provide such notice immediately, and shall immediately forward the <br />City's resDonses to CHFA, and CHFA's responses to the City. In the event of a <br />conflict between the approval or instructions from the City and CHFA, both <br />public bodies shall be immediately notified, and all parties, through ~heir <br />representatives, shall meet or confer by conference call to resolve the <br />conflict All parties acknowledqe that the City, CHFA, Owner and Agent have <br />the common interest and purpose to operate the Development (a) in accordance <br />with all Federal, state and local laws, (b) in accordance with all restrictions <br />and conditions imposed by the Federal, state and local financing methods and <br />fundinq sourceS, (C) to protect the financial investments by the City, CHFA and <br />Owner and the security interests of the City and CHFA, and {d) to provide Safe, <br />decent and affordable housinq in the community. <br /> <br /> IN WITNESS WHEREOF, the parties have executed this Agreement on the date <br />first written. <br /> <br /> OWNER: EDEN HOUSING, INC., a California <br /> nonprofit corporation <br /> <br /> By: <br /> Catherine A.
