IX. INDEMNITY <br />Each Party, except the City, shall indemnify, defend, and hold harmless the City and each <br />other Party against any and all claims or suits for damages or injury to property, including but <br />not limited to, the Road or any structures, foundations, or other improvements of the <br />indemnifying Party, and persons and property, arising from the indemnifying Party's, or its <br />invitees' and agents' use of the Road or from any activity, work or thing done, permitted or <br />suffered in or about the Road by the indemnifying Party, its invitees and agents, except that no <br />Party shall be indemnified for its own negligence or willful misconduct or the negligence or <br />willful misconduct of its contractors, agents, or employees. <br />X. ATTORNEY'S FEES <br />In the event any litigation is commenced between the Parties with respect to the <br />interpretation or enforcement of this Agreement, in addition to such other relief as may be <br />granted, the prevailing party shall be entitled to reasonable attorney's fees, costs, and expenses of <br />litigation. <br />XI. NOTICE <br />All notices herein required shall be in writing and delivered in person or sent by first class <br />mail, postage prepaid to the addresses listed in the attached Exhibit B. <br />Any Party or successor in interest may change the foregoing address by giving notice of a <br />new address to every other Party in the manner provided herein. <br />XII. ADDITIONAL PARTIES <br />If new record owners of real property having access to the Road, or new lessees or <br />licensees utilize the Road, desire to become a party to this Agreement, City may add such new <br />owners, lessees, or licensees as signatories to the Agreement after prior written notice to the <br />Parties. <br />XIII. SUCCESSORS IN INTEREST <br />This Agreement shall run with the land and be binding upon any and all heirs, executors, <br />administrators, assigns, and successors in interest of Parties. The obligations of any Lessee <br />under this Agreement shall be terminated automatically upon termination or expiration of the <br />lease, license, or other agreement under which that Lessee uses property adjacent to or accessed <br />by the Road. <br />Santos Ranch Road Maintenance Agreement <br />
