EXHIBIT B <br />FIRST AMENDMENT TO PURCHASE AND SALE AGREEMENT <br />This First Amendment to the January 28, 2005 Purchase and Sale Agreement (the <br />Agreement) between Threehand LP, a limited partnership (Seller) and the City of <br />Pleasanton (City) is entered into August 15, 2006. <br />RECITALS <br />A. On January 28, 2005 Seller and the City entered into the Agreement by which <br />Seller agreed to sell real property to City (described in Exhibit A to the Agreement), to <br />grant certain easements to the City, and to pay City $28,500 in exchange for the City's <br />constructing certain improvements intended to benefit the Seller in connection with <br />Seller's development of its property. <br />B. The parties now wish to finalize and memorialize the scope and extent of the <br />improvements referenced in the Agreement. <br />NOW, THEREFORE, in consideration of the promises set forth in the Agreement and <br />this First Amendment, the parties agree as follows: <br />1. The new road within Seller's property shall be generally cut into the hillside <br />that follows the existing roadway on the property and shall be graded as shown to reduce <br />impacts on the existing trees. The road will be extended approximately 450 feet further <br />up the ridge from its existing terminus to serve the City water tank. The roadway will <br />provide access to the tank and future homes within Seller's property. <br />2. Sellers shall grant City a temporary construction easement for construction of <br />the reservoir and access road (a description of the reservoir site, the utility and access <br />easement and temporary construction easements are attached as Exhibits A through ~. <br />3. City shall construct, or cause to be constructed, the following improvements <br />on Seller's property: <br />A. Anew 18-foot wide paved roadway with shoulders that generally follows <br />the vertical and horizontal alignment shown on a twelve (12}sheet set of plans titled <br />"Vineyard Hills Reservoir Access Road" (Access Road Plans) prepared by Aliquot <br />Planners, Civil Engineers and Surveyors (Aliquot) dated 5/11/06. Additionally, Aliquot <br />shall prepare finished roadway improvement plans including utilities and retaining walls. <br />Construction of access roads/driveways to the residential lots from the main road is the <br />responsibility of Seller. <br />
