"System" means point of sale services for authorizing and <br />processing electronic funds transfer credit transactions initiated <br />by use of Qualified Cards. <br />"Terminal" and/or "printer" refers to a manned point of sale <br />electronic funds transfer device which does not dispense cash and <br />which is connected to the system to effectuate transactions <br />initiated with a Qualified Card. As of the commencement date of <br />this Agreement, each terminal shall be a Verifone Tranz 330 <br />terminal with a Verifone Printer 250. In the event a newer, more <br />efficient authorization terminal model is made available to the <br />Client and installed in any department of the client, "Terminal", <br />as defined herein, shall also include such newer, more efficient <br />model(s) of authorization terminals. <br />"Transaction" or "Qualified Card Transaction" means the <br />payment for goods or services sold by the Client or the payment of <br />taxes, licenses, tuition or fees to. CPS made by the use of any <br />Qualified Card beginning with the initiation of a request message <br />at a Terminal and ending with the completion of the response <br />message to that Terminal. Transaction, as used herein, shall also <br />include manually imprinted transactions made in reliance on oral or <br />written authorization when electronic authorizations are not <br />available. <br />ARTICLE II <br />SCOPE OF SERVICES <br />2.01 Services in General. <br />CPS agrees to provide an efficient system, which shall include <br />the following: <br />(1) a Terminal which shall work in conjunction with a <br />computer switch and data network to provide routing, <br />authorization, accounting, settlement, and reporting for <br />Qualified Card Transactions. All data network access <br />charges shall be paid by CPS; <br />(2) electronic fund transfers for Qualified Cards from the <br />cardholders' account to the CPS clearing account and. then <br />from the CPS clearing account to the Client's designated <br />settlement bank account; <br />(3) electronic authorization for all Qualified Cards; <br />(4) downline loading of the Terminals from the central <br />computer unless the terminal is already down loaded; <br />(5) electronic authorization, automatic receipting, draft <br />capture, and automatic settlement to the Client's <br />06/06/91 <br />
